Managed Hosting Terms & Conditions

These Managed Hosting Terms & Conditions (“Hosting Terms”) apply to any client who chooses Neuraldemy to host and manage their WordPress, Shopify, or custom web application.

By purchasing a hosting plan or paying a hosting invoice, you (“the Client”) agree to these Terms. These are supplemental to our general [Web Development Terms & Conditions] and [Refund Policy].

At-a-Glance Summary

  • What It Is: We do not own physical servers. We lease high-quality infrastructure from third-party providers (like Hostinger, DigitalOcean, or AWS) and provide a layer of expert management, configuration, and server-side maintenance on top of it.
  • Uptime: Because we use third-party data centers, uptime depends on their network stability. We rely on their industry-standard 99.9% uptime targets.
  • Backups: We configure automated backups, but you are strongly encouraged to keep your own. We are not liable for accidental data deletions caused by your team.
  • Billing & Suspension: Hosting is billed in advance. If an invoice is unpaid for 7 days, your site will be suspended. After 30 days of non-payment, all files and databases will be permanently deleted.
  • Security: We secure the server environment. If your site gets hacked because you used a weak password or installed an unverified WordPress plugin, fixing it is billable at our hourly rate.

1. Scope of Managed Hosting Services

Our Managed Hosting service is strictly an infrastructure management and server-maintenance agreement.

  • Third-Party Infrastructure: Neuraldemy does not own or operate physical data centers. We lease server space from established, premium third-party providers (such as Hostinger, Vercel, or AWS).
  • What is Included: We handle the technical setup, server environment configuration, SSL certificate renewals, server operating system updates, basic server-side troubleshooting, and automated backup configuration.
  • What is NOT Included: Making changes to your website content, developing new features, fixing bugs in your custom application code after your free support period ends, or managing third-party marketing tools. Ongoing development requires a separate maintenance contract. This service is different from our web development services.

2. Uptime & Data Center Reliance

Because your application is hosted on third-party infrastructure, we cannot independently guarantee 100% uptime.

  • We rely on the uptime Service Level Agreements (SLAs) provided by our upstream hosting partners (typically targeting 99.9% network uptime).
  • Exclusions: We are not responsible for downtime caused by physical data center failures, upstream network routing issues, scheduled maintenance by the server provider, or global internet backbone outages.
  • Client Error: Downtime caused by your custom code deployments, poorly optimized database queries, or misconfigured admin settings is not covered by any uptime targets.

3. Resource Limits & Overages

Your hosting plan includes specific limits for storage, bandwidth, and server resources.

  • If your website experiences a massive traffic spike or exceeds its allocated limits, we will not immediately take the site offline.
  • Instead, we will notify you. If the resource usage incurs overage charges from our upstream provider, or if it becomes a regular occurrence, we will require you to upgrade to a higher-tier hosting plan to ensure the stability of the application.

4. Backups & Data Loss

While we configure automated periodic backups of your files and database on the server, these are provided as a courtesy.

  • You are solely responsible for maintaining your own off-site backups of critical business data, especially user-generated content or e-commerce orders.
  • We are not liable for any data loss, including loss caused by third-party hardware failure, corrupted databases, or accidental deletions by you or your administrative team.
  • If you require us to restore a backup because your team broke the site or accidentally deleted data, a standard administrative fee will apply.

5. Security & Malware

We ensure the server environment itself is configured securely, but website application security is a shared responsibility.

  • Your Responsibility: You must use strong passwords, enforce multi-factor authentication where applicable, and refrain from installing untrusted WordPress plugins, themes, or unverified NPM packages.
  • Hacked Sites: If your application is compromised due to weak passwords, outdated client-installed plugins, or leaked API keys, we will immediately take the site offline to protect the server network. Repairing, cleaning, and restoring a hacked site is entirely out of scope for standard managed hosting and will be billed at our emergency hourly rate.

6. Payments, Suspension, & Data Deletion

Hosting relies on continuous resource allocation and must be paid in advance (monthly or annually).

  • Grace Period: Invoices are due on the date specified. If payment is not received within 7 days of the due date, your website and associated services will be automatically suspended (taken offline).
  • Permanent Deletion: If your account remains unpaid for 30 days past the due date, we will permanently terminate your hosting account. All files, databases, and backups associated with your account will be permanently and irretrievably deleted from our upstream providers.
  • Reactivation: Reactivating a suspended account within the 30-day window will require full payment of the past-due balance plus a 10% reinstatement fee.

7. Acceptable Use & Prohibited Content

You may not use our hosting services to store, process, or distribute any content that:

  • Violates any laws in India, your local jurisdiction, or the jurisdiction of your users.
  • Infringes on the intellectual property, copyright, or privacy rights of any third party.
  • Contains malware, viruses, phishing scripts, or attempts to execute DDOS attacks.
  • Promotes illegal activities, hate speech, or explicit/obscene material not permitted by law.

If we determine, at our sole discretion, that your site violates this Acceptable Use Policy, or if our upstream provider flags your site for a violation, we reserve the right to suspend or terminate your hosting immediately without a refund.

8. Cancellation & Migration Out

You are not locked into our hosting indefinitely. You may cancel your hosting plan at any time by providing written notice via our support portal at least 15 days before your next billing cycle.

  • Refunds: Hosting payments are strictly non-refundable once the billing cycle has started, as server resources are purchased from our upstream providers immediately. See our [Refund Policy] for details.
  • Migration Support: Upon cancellation and provided your account balance is paid in full, we will provide you with a standard .zip file of your website directory and a .sql export of your database. We do not provide free technical support for migrating your application to a new hosting provider.

9. Limitation of Liability

Because we manage third-party infrastructure, we cannot be held liable for catastrophic failures on their end. Our maximum financial liability for any failure of our hosting management services, including prolonged downtime or data loss, is strictly limited to the total hosting fees you paid to us in the three (3) months immediately preceding the incident. We are not liable for indirect losses, lost sales, or business interruptions.
