Web Development Services Terms & Conditions

By paying the advance or instructing Neuraldemy (“we,” “us,” “our”) to begin work, you (“the Client”) agree to these Terms in full.

At-a-Glance Summary

  • What We Build: WordPress, Shopify, or custom web applications (MERN, Next.js, PostgreSQL/MySQL, and related tools).
  • Hosting & Domains: You must purchase your own hosting and domain before we start, or opt into our paid managed hosting.
  • Requirements & Scope: We build exactly what is agreed upon upfront. Adding new features later will increase the cost and delay the project.
  • Timelines: Delivery dates are estimates based on standard working days (Mon–Fri). Delays can happen.
  • Payments: A 50% advance is required to start and is largely non-refundable. The final balance is due before we deploy the site or hand over access.
  • Your Accounts: You are responsible for providing access to necessary platforms (GitHub, hosting) and paying for your own third-party APIs.
  • Free Support: 2 months for WordPress/Shopify, 6 months for custom builds. This covers bug fixes only, not new features. We have no responsibility once this period ends.
  • International Clients: You are responsible for any payment gateway fees and compliance with your local data privacy laws (like GDPR or CCPA). Everything will included in final amount.

1. Scope of Services

We specialize in custom web development. Depending on your needs, we build:

  • CMS & E-Commerce: WordPress and Shopify websites.
  • Custom Applications: Bespoke systems using HTML, CSS, TypeScript/JavaScript, Tailwind, and the MERN stack (MongoDB, Express, React, Node.js) or Next.js, backed by MySQL or PostgreSQL, and related technologies. This includes complex backend architectures like custom admin dashboards, user role management, and secure database systems.

2. Requirements & Scope Creep

All project requirements, features, and designs must be thoroughly discussed and documented before development begins.

  • Once the project starts, the scope is locked.
  • If you request new features or changes outside the original agreement, they will be quoted separately. Any new requirements will result in additional costs and will push back the project delivery date.

3. Hosting, Domains & Third-Party Accounts

Web development costs do not include hosting, domain names, or third-party software subscriptions.

  • Hosting & Servers: For WordPress/Shopify, you must purchase your own active hosting and domain before we begin work. For custom Next.js/MERN applications, you must provide your own servers. Alternatively, you can purchase our Managed Hosting services.
  • Access & Credentials: It is your responsibility to promptly share credentials for any platforms we need to integrate (e.g., GitHub, hosting panels, CMS logins).
  • Third-Party APIs & Billing: If your project requires third-party services (e.g., payment gateways, AI APIs, mailing services), you must create those accounts. All API usage costs and billing are your sole responsibility.

4. Project Timelines

All project timelines and delivery dates are approximate.

  • Timelines are calculated using standard working days (Monday through Friday) and exclude weekends and public holidays.
  • While we strive to meet targeted delivery dates, custom software development can face unexpected technical hurdles. Delays can happen, particularly if we are waiting on you for feedback, content, or credentials.

5. Payment Terms & Handover

  • The Advance: A 50% advance payment is strictly required before any work begins.
  • Refunds: Once development has started, the advance is generally non-refundable. In the rare event we agree to issue a partial refund, we reserve the right to adjust the refunded amount to cover the exact time, effort, and resources already expended on the project, at our sole discretion.
  • Final Handover: We will not deploy the final website to your live server, transfer code ownership, or hand over admin credentials until the final project balance is paid in full.

6. Post-Launch Support

We stand by our work and include a fixed period of free technical support after the final handover.

  • WordPress & Shopify: 2 months of support.
  • Custom Websites: 6 months of support.

What Support Covers: This period covers fixing bugs or breakages in the existing functionality we delivered.

What Support Does Not Cover: It does not include building new features, adding new pages, making design changes, or fixing issues caused by third-party API updates.

Once the support period ends, we hold no further responsibility for the maintenance or functionality of the website unless you purchase a separate ongoing maintenance plan.

7. Intellectual Property & Code Ownership

Upon final payment, you own the specific business logic, visual design, and content of the website. However, many modern web applications utilize open-source frameworks (like React or Tailwind) and our own pre-existing boilerplate code. We retain ownership of our proprietary boilerplate, but grant you a perpetual, royalty-free license to use it as part of the delivered application.

8. Data Privacy Compliance

If your application captures user data, requires user authentication, or manages user profiles, you (the Client) act as the Data Fiduciary. You are solely responsible for ensuring your application has an appropriate Privacy Policy and complies with applicable privacy laws, including India’s Digital Personal Data Protection (DPDP) Act, and other data protection laws as required in your country.

9. Limitation of Liability

We build using industry-standard practices, but we are not liable for indirect losses, lost revenue, or business interruptions caused by server downtime, third-party API failures, or software obsolescence. In no event shall our total financial liability exceed the total amount paid by the Client for the specific project.

10. Governing Law & Jurisdiction

These Terms, and any dispute arising from the project, shall be governed by and construed in accordance with the laws of India. Both parties agree to submit to the exclusive jurisdiction of the courts located in New Delhi, India.

11. International Payments & Currency

For international clients, invoices will be issued in USD (or EUR/GBP as agreed). The Client is responsible for any intermediary bank fees, currency conversion fees, or payment gateway fees (such as Stripe or PayPal processing fees). The final amount received by us must match the total amount stated on the invoice.

12. International Data Privacy (GDPR, CCPA, etc.)

If the Client operates outside of India or targets international users, the Client is solely responsible for compliance with their local data protection laws (such as the GDPR in Europe or CCPA in California). We act strictly as a “Data Processor” executing technical requirements. Securing end-user consent, managing cookie policies, and providing cross-border transfer safeguards are entirely the Client’s responsibility.

13. Client Delays & Project Dormancy

Development timelines rely on prompt feedback and asset delivery from the Client. If the Client fails to respond or provide required assets for more than 14 consecutive days, the project will be marked as “Dormant” and our work will pause. Resuming a dormant project is subject to our current schedule availability and may incur a project restart fee of up to 10% of the total project cost.

14. Force Majeure

We shall not be held liable for any delays or failure to perform our obligations if such delay is caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, government restrictions, or third-party platform failures.

15. Administrative Access & Data Loss

Upon final handover, the Client assumes full responsibility for the management of their website or application. We are not liable for any data loss, system breakages, or security breaches caused by user error, accidental deletions, incorrect configuration of admin settings, or mishandled passwords by the Client or their team. Restoring backups or fixing issues caused by administrative misuse is not covered under free support and will be billed at our standard hourly rate.

16. Portfolio & Marketing Rights

Unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project starting, we reserve the right to showcase the completed website or application in our portfolio, case studies, social media, and other marketing materials. We may also include a discreet “Developed by Neuraldemy” link in the footer of the website, which the Client may request to be removed for a small fee.
